BlackArch utilizes resources to analyze deals in order to carefully manage risk. We have an “owner’s mentality” and only lend against assets we would be comfortable owning. We originate loans to finance assets primarily in areas where BlackArch has an operating footprint.

The principals of BlackArch have experience in development, residential and commercial real estate, fund management, investment, lending, and analyzing data. With BlackArch’s offices based near Salt Lake City, Utah, leaders have specific and specialized knowledge of the markets they invest in.

Zach Smith

A serial entrepreneur having never had a “real” job his entire life. He’s always starting, selling, running, and managing businesses. Mr. Smith loves helping others turn their dreams, ideas, and inspirations into successful companies. Mr. Smith graduated Summa Cum Laude as the valedictorian from Weber State University’s Goddard School of Business and Economics, with a business degree specializing in Accounting. He is fluent in Mandarin Chinese and has been featured in numerous publications including Mixergy, The Wall Street Journal, USA Today, Entrepreneur, and Forbes. He is the author of the Amazon bestseller, Funded Today: The Ultimate Guide To Crowdfunding, and is also a sought after keynote speaker at CrowdCon, Import Summit, the Canadian Crowdfinance Summit, Converge, and many others. Zach is a curious soul who craves knowledge and learning and never stops asking questions. Zach enjoys real estate investing, angel investing, private lending, playing competitive indoor soccer, competitive chess, basketball, tennis, and spikeball, reading and listening to business biographies and autobiographies, traveling, and working with entrepreneurs. He is married to the beautiful and talented vocalist, Courtney Bergen, has a doll of a daughter named Elliot ‘Ellie’ Jane, and a gorgeous goldendoodle named Arwen, and resides in the glorious city of Ogden, Utah.

An accomplished attorney (licensed in both New York and Utah) and brings over nine years of legal experience in private equity, fund formation, securities, tax, corporate and business law, real estate, mergers and acquisitions, debt financing, and compliance. After receiving his Bachelor of Arts from Brigham Young University and his Juris Doctor from Arizona State University – Sandra Day O’Connor College of Law, Mr. Pennington’s professional fund experience began at Bridge Investment Group (a behemoth real estate fund manager with over $20 billion AUM) where he was an associate counsel for the firm. He then gained valuable experience in corporate law, real estate, and securities at one of Utah’s most respected law firms – Clyde Snow & Sessions.

Since then, he has continued to expand his legal acumen by becoming one of the youngest partners at the law firm Freeman Lovell

And further focused his practice on fund formation, securities, business law, and real estate. More recently, he was the Chief Compliance Officer of Sundance Bay, a successful private equity firm with over $700 million in equity investments since inception. In addition, he recently sold his highly successful private equity fund (which he was the managing partner of) that provided short-term loans to business startups, is a licensed Utah real estate agent, and is fluent in Mandarin Chinese.

Nick Jenson

A successful investor and real estate entrepreneur. After graduating with honors from Westminster College with a Bachelor’s Degree in International Business, he worked for Goldman Sachs and Fidelity Investments as a stockbroker. Shortly thereafter, Nick started the Jenson Real Estate Company. In three short years, he has become one of the top real estate agents in the state of Utah (Top 500 Realtor for his production), and he and his real estate team close millions of dollars in sales each month. Mr. Jenson also has experience in real estate development while also finding and selling off-market real estate deals. He has been heavily involved in working hand-in-hand with his wife to build a successful mortgage lending team that closes millions of dollars in loans every month.

Recently, Mr. Jenson has been focused more on brokering and lending hard money to local real estate investors, as well as structuring bridge loans.

He has been deemed an “elite closer” by his peers with the ability to negotiate win/win deals for all parties involved. He has an endless vision of abundance and opportunity which are evident in his success and work. In his personal life, Mr. Jenson is married and has four kids, the youngest three being baby triplets. He played college basketball and is also trilingual, speaking both English, Portuguese, and Spanish.

The entire account creation and investment process is completed online via the BlackArch website. You will be prompted to provide or verify any required information, as well as make the necessary acknowledgements electronically.

An accredited investor, in the context of a natural person, includes anyone who:

  • earned income that exceeded $200,000 (or $300,000 together with a spouse or spousal equivalent) in each of the prior two years, and reasonably expects the same for the current year, OR
  • has a net worth over $1 million, either alone or together with a spouse or spousal equivalent (excluding the value of the person’s primary residence), OR
  • holds in good standing a Series 7, 65, or 82 license.

There are other categories of accredited investors, including the following, which may be relevant to you:

  • any trust, with total assets in excess of $5 million, not formed specifically to purchase the subject securities, whose purchase is directed by a sophisticated person, OR
  • certain entity with total investments in excess of $5 million, not formed to specifically purchase the subject securities, OR
  • any entity in which all of the equity owners are accredited investors.

In this context, a sophisticated sophisticated person means the person must have, or the company or private fund offering the securities reasonably believes that this person has, sufficient knowledge and experience in financial and business matters to evaluate the merits and risks of the prospective investment.
