BlackArch Debt Fund Manager LLC (“BlackArch”) invests in short-term, asset-backed, commercial loans that offer attractive risk adjusted returns.
BlackArch utilizes resources to analyze deals in order to carefully manage risk. We have an “owner’s mentality” and only lend against assets we would be comfortable owning. We originate loans to finance assets primarily in areas where BlackArch has an operating footprint.
You Invest – Accredited investors become partners in the deals.
We Find – BlackArch finds the deals, negotiates the terms, and closes the deal.
We Collect – Our portfolio of deals generates payments from our borrowers.

The Team
The principals of BlackArch have experience in development, residential and commercial real estate, fund management, investment, lending, and analyzing data. With BlackArch’s offices based near Salt Lake City, Utah, leaders have specific and specialized knowledge of the markets they invest in.
Zach Smith

Mr. Smith graduated Summa Cum Laude as the valedictorian from Weber State University’s Goddard School of Business and Economics, with a business degree specializing in Accounting. He is fluent in Mandarin Chinese and has been featured in numerous publications including Mixergy, The Wall Street Journal, USA Today, Entrepreneur, and Forbes. He is the author of the Amazon bestseller, Funded Today: The Ultimate Guide To Crowdfunding, and is also a sought after keynote speaker at CrowdCon, Import Summit, the Canadian Crowdfinance Summit, Converge, and many others. Zach is a curious soul who craves knowledge and learning and never stops asking questions. Zach enjoys real estate investing, angel investing, private lending, playing competitive indoor soccer, competitive chess, basketball, tennis, spikeball, reading and listening to business biographies and autobiographies, traveling, and working with entrepreneurs. He is married to the beautiful and talented vocalist, Courtney Bergen, has a doll of a daughter named Elliot ‘Ellie’ Jane, and a gorgeous goldendoodle named Arwen, and resides in the glorious city of Ogden, Utah.

Dustin Kearl
An award-winning tax strategist, Dustin Rhett Kearl has been involved in business from a young age. A graduate of Western Governors University’s Masters of Accountancy program and Weber State University’s Bachelors program, he is well-versed in tax law. Dustin began his career in public accounting, moving into the private sector to the role of CFO with Setpoint Systems Inc. and worked closely with Tesla and other big technology companies. He also obtained his Utah Contractors License and works with high-net-worth individuals.
With all of his experience with mergers and acquisitions, Dustin made a name for himself in nearly every industry type. He has vitally helped start-ups to multi-billion dollar businesses focus and turn a profit.
Mr. Kearl is supported by his wife, Fabia, and five children. He continues to build his portfolio of companies which is well over thirty, and works closely to balance home and work through delegation and efficiency. Dustin served a mission for The Church of Jesus Christ of Latter-day Saints, and is highly active in building others and helping them succeed. He builds those around him through business opportunities and many other ways.

The entire account creation and investment process is completed online via the BlackArch website. You will be prompted to provide or verify any required information, as well as make the necessary acknowledgements electronically.
An accredited investor, in the context of a natural person, includes anyone who:
- earned income that exceeded $200,000 (or $300,000 together with a spouse or spousal equivalent) in each of the prior two years, and reasonably expects the same for the current year, OR
- has a net worth over $1 million, either alone or together with a spouse or spousal equivalent (excluding the value of the person’s primary residence), OR
- holds in good standing a Series 7, 65, or 82 license.
There are other categories of accredited investors, including the following, which may be relevant to you:
- any trust, with total assets in excess of $5 million, not formed specifically to purchase the subject securities, whose purchase is directed by a sophisticated person, OR
- certain entity with total investments in excess of $5 million, not formed to specifically purchase the subject securities, OR
- any entity in which all of the equity owners are accredited investors.
In this context, a sophisticated sophisticated person means the person must have, or the company or private fund offering the securities reasonably believes that this person has, sufficient knowledge and experience in financial and business matters to evaluate the merits and risks of the prospective investment.
